Acceptance of Terms

By accessing or using the OnePercent Solutions website (the "Site") or engaging with any of our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and OnePercent Solutions ("Company," "we," "us," or "our"). By submitting a contact form, engaging our services, or otherwise communicating with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Services Description

OnePercent Solutions provides marketing consulting, funding consulting, and related business advisory services (collectively, the "Services"). The specific scope, deliverables, timeline, and pricing for each engagement are outlined in a separate Service Agreement or Statement of Work entered into between the Company and the Client.

Services may include, but are not limited to:

• Performance marketing strategy and campaign management
• Digital branding, identity, and web presence
• Business funding advisory and capital strategy
• Investor-ready decks, models, and narrative
• Lead generation and conversion systems
• Growth consulting and fractional growth leadership

We reserve the right to modify, expand, or discontinue any Service at any time with reasonable notice.

Eligibility

Our Services are intended for business owners and professionals who are at least 18 years of age and legally authorized to enter into binding contracts. By using our Site or engaging our Services, you represent and warrant that you meet these eligibility requirements.

Communications & SMS Consent

Email Communications

By providing your email address, you consent to receive communications from OnePercent Solutions related to your inquiry, our services, and business updates. You may opt out of marketing emails at any time by clicking the "unsubscribe" link in any email or contacting us directly.

SMS / Text Message Communications

By providing your mobile phone number and checking the SMS consent checkbox on our contact form, you expressly consent to receive text messages from OnePercent Solutions, including transactional messages, service updates, appointment reminders, and promotional messages related to our consulting services.

SMS Opt-Out

You may opt out of SMS communications at any time by:

• Replying STOP to any text message from us
• Emailing us at info@onepercentsolutions.com with your opt-out request
• Contacting us through the contact form on our website

After you opt out, you will receive one final confirmation message. Following that, you will not receive any further SMS messages unless you re-subscribe.

Fees & Payment

Fees for Services are set forth in the applicable Service Agreement. Payment terms, schedules, and methods will be outlined in your individual agreement. All fees are due as specified. Failure to remit payment may result in suspension or termination of Services.

We reserve the right to update our pricing. Changes will not apply to existing agreements without mutual written consent.

Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, and images, is the property of OnePercent Solutions and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

Work product created specifically for a Client pursuant to a written Service Agreement becomes the property of the Client upon full payment, unless otherwise specified in that agreement.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. OnePercent Solutions will not disclose your business information to third parties except as required to deliver the Services or as required by law. Specific confidentiality obligations may be further defined in a Non-Disclosure Agreement.

Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ONEPERCENT SOLUTIONS DOES NOT WARRANT THAT THE SERVICES WILL ACHIEVE ANY PARTICULAR BUSINESS OUTCOME, REVENUE TARGET, OR FUNDING RESULT.

Past results do not guarantee future performance. Consulting services involve inherent uncertainty, and specific results depend on numerous factors outside our control, including market conditions, client implementation, and third-party actions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONEPERCENT SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising out of or relating to these Terms or the Services shall not exceed the total fees paid by you to OnePercent Solutions in the three (3) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless OnePercent Solutions and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your violation of these Terms or your use of our Services.

Termination

Either party may terminate a Service engagement in accordance with the terms of the applicable Service Agreement. We reserve the right to terminate or suspend your access to our Site or Services immediately if you breach these Terms or engage in any conduct we deem harmful to OnePercent Solutions or other users.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which OnePercent Solutions is incorporated, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the applicable courts.

Changes to Terms

We reserve the right to update these Terms at any time. We will notify users of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by other means such as email notification. Your continued use of our Site or Services following any changes constitutes your acceptance of the revised Terms.
